1. Identity and agreement
AdWiz is operated, governed, overseen and controlled through Net2You. The AdWiz advertising engine and supporting technology are supplied under licence by 2xx Technologies.
Net2You and 2xx Technologies are trading names. References to “AdWiz”, “we”, “us” or “our” mean Net2You unless the context clearly refers to the licensed technology.
By creating an account, submitting a campaign, publishing AdWiz code, joining a referral programme, funding a wallet or otherwise using the service, you agree to these terms and the Privacy Policy.
2. The AdWiz service
AdWiz connects advertisers, publishers and referrers through a self-service advertising platform. The service may include campaign funding, creative creation and upload, approvals, responsive ad selection, house-ad fallback, visibility confirmation, click validation, reporting, publisher earnings, referral attribution and payouts.
AdWiz is slot-first and format-responsive. It may measure the available advertising space and choose a compatible format within the publisher's configured maximum. AdWiz does not guarantee a particular advert, fill rate, impression volume, click volume, revenue level, placement result or campaign outcome.
3. Accounts and eligibility
- You must be at least 18 and able to enter a binding agreement.
- Registration details must be accurate, current and complete.
- You are responsible for protecting login credentials and activity under your account.
- Accounts, balances, approvals and roles may not be transferred without written permission.
- AdWiz may require email verification, identity checks, domain verification, payment verification or additional information before enabling features or payouts.
4. Advertiser terms
Wallet credit and campaign allocation
Money added by an advertiser becomes advertising credit. It is not a bank account, deposit account or electronic-money account, does not earn interest and is not publisher or referral earnings. Promotional credit has no cash value.
Credit may be allocated from the advertiser wallet to a campaign. Campaign spend reduces the campaign's remaining budget as valid billable events occur. Normal campaign spend must not deduct the same value from the wallet a second time.
Campaigns and creatives
Advertisers are responsible for campaign content, claims, destination pages, legal rights and compliance. AdWiz may review, approve, reject, pause, resize safely, sandbox or remove creatives. Approval does not transfer responsibility to AdWiz or amount to legal endorsement.
5. Billing and valid events
A raw ad request is not automatically billable. A paid impression normally requires a successful compatible serve, browser visibility confirmation, repeat-charge protection, traffic-quality checks, an approved funded campaign and an eligible paid creative.
A paid click normally requires a clickable creative, a recent valid impression, visitor and campaign cap checks, and traffic-quality checks. Repeated, automated, suspicious, display-only or otherwise ineligible clicks may be recorded for security but not charged.
AdWiz may use visitor tokens, hashed or derived identifiers, device and browser information, timing, page context and other reasonable indicators to protect advertisers and publishers. Rates, charges and applicable publisher shares may vary by format, event type, campaign or agreed schedule and are shown in the platform where applicable.
AdWiz's event records and validation systems will be used to calculate charges and earnings, subject to correction where a technical, billing or fraud error is identified.
6. Publisher terms and earnings
- Publishers must control or be authorised to use each submitted website and placement.
- Publishers are responsible for their own website privacy and cookie notices and for deciding when AdWiz or other third-party technology may be loaded. AdWiz provides accurate disclosure wording, but does not operate, monitor or certify the publisher's consent system.
- Publisher code must not be altered to create false events, hidden placements, forced clicks, misleading overlays or artificial traffic.
- Earnings arise only from valid eligible events under the rate or share displayed by AdWiz.
- House adverts, emergency local fallbacks, bots, duplicate-capped events and nonbillable events do not create ordinary paid-ad earnings unless AdWiz expressly states otherwise.
- AdWiz may hold, adjust or reverse pending earnings connected to fraud, duplicate billing, technical errors, refunds, chargebacks or policy breaches.
Publisher earnings are separate from advertiser credit and referral earnings. Payout status, thresholds, methods, verification and any applicable charges will be shown in the publisher area or agreed separately.
7. Referral programme
Where the referral programme is enabled, an eligible referrer may earn 5% of AdWiz revenue from qualifying referred-advertiser spend for 180 days. The earning period starts when the referred advertiser first funds their wallet with real paid credit, not when a link is clicked, an account is created or promotional credit is issued.
Referral commission comes from AdWiz's retained margin and does not reduce the publisher share. Referral attribution may rely on referral links, the current AdWiz session, required AdWiz referral storage, or the referral record attached when an account is created. Referral storage is limited to crediting the introducing member and is not used for behavioural profiling. Self-referrals, duplicate accounts, fraud, misleading promotion and artificial activity are not eligible.
AdWiz may change or close the referral programme prospectively. Earned and approved amounts remain subject to validation, payout rules and these terms.
8. House adverts and fallback
When no suitable paid advert is eligible, AdWiz may display a professional AdWiz house advert or emergency fallback rather than leave a dead placement. House adverts may promote AdWiz, advertiser registration, publisher registration or referral opportunities.
House-ad impressions are not charged to a paid advertiser. A publisher or referrer may become eligible for referral commission if a house-ad introduction later qualifies under the referral rules.
9. Content standards and acceptable use
You must not use AdWiz to distribute or promote unlawful, fraudulent, deceptive, infringing, malicious or unsafe material, or to manipulate advertising events. Prohibited conduct includes:
- bots, click farms, automated refreshing, hidden ads, incentivised clicks not approved by AdWiz or fabricated traffic;
- malware, phishing, credential theft, unauthorised surveillance or interference with devices or networks;
- content or claims that breach advertising, consumer, intellectual-property, privacy or other applicable laws;
- impersonation, false account information, stolen payment methods or evasion of account restrictions;
- reverse engineering, scraping, overloading or attempting to bypass security, caps or validation systems except where law expressly permits.
AdWiz may investigate and take proportionate action, including pausing campaigns, withholding pending amounts, suspending accounts, blocking traffic or reporting unlawful activity.
10. Payments, refunds and payouts
Payment providers may impose their own terms. Browser return pages are informational and do not by themselves create wallet credit. AdWiz credits real funds only after confirmed provider or bank verification under the configured approval process.
Promotional credit is non-refundable and non-transferable. Allocated or spent advertising credit is not refundable except where required by law or where AdWiz confirms a billing error. Any request concerning unused paid wallet credit will be considered under the purchase terms, payment-provider rules and applicable law.
Publisher and referral payouts may be subject to minimum thresholds, account verification, fraud review, tax information and administrative approval. At launch, approved payouts are normally sent by manual UK bank transfer to the encrypted bank details supplied in the account. You are responsible for keeping those details accurate and for your own tax reporting and liabilities.
11. Intellectual property and licences
The AdWiz name, branding, interface, platform materials and documentation are protected by applicable intellectual-property rights. The underlying engine and supporting technology are supplied under licence by 2xx Technologies.
You retain ownership of content you submit. You grant AdWiz a worldwide, non-exclusive, royalty-free licence for the duration of the service relationship to host, reproduce, resize, sandbox, display, transmit and otherwise use that content as reasonably necessary to provide, secure, test and promote the relevant advertising service.
You confirm that you have all rights and permissions needed for submitted content and destination pages.
12. Availability, testing and changes
AdWiz may change, improve, restrict or discontinue features, formats, rates, validation rules, provider integrations or technical requirements. Reasonable notice will be given where a material change significantly affects an active paid service, unless immediate action is required for security, law, fraud prevention or provider compliance.
The service may occasionally be unavailable due to maintenance, hosting, networks, browsers, third-party providers, ad blockers or events beyond reasonable control. AdWiz does not guarantee uninterrupted or error-free operation.
13. Responsibility and liability
Each user remains responsible for their business, websites, advertising content, legal compliance, taxes and commercial decisions. AdWiz is not responsible for advertiser products or services, publisher content, third-party websites or transactions between users and third parties.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
To the fullest extent permitted by law, AdWiz is not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill, data or anticipated savings. For business users, AdWiz's total aggregate liability arising from the service is limited to the greater of £100 or the net fees retained by AdWiz from that user's paid activity during the 12 months before the event giving rise to the claim.
A business user agrees to reimburse AdWiz for reasonable losses, claims and costs arising from that user's unlawful content, infringement, fraud or material breach of these terms.
14. Suspension and termination
You may stop using the service and request account closure, subject to outstanding campaigns, payments, disputes, legal retention and payout processing. AdWiz may suspend or terminate access for breach, fraud risk, non-payment, security concerns, legal requirements, provider restrictions or serious harm to the platform or its users.
On closure, AdWiz may retain records required for accounting, fraud prevention, disputes and law. Valid approved publisher or referral earnings remain subject to the payout rules. Fraudulent, reversed or invalid amounts are not payable.
15. General terms
- If part of these terms is unenforceable, the remaining terms continue.
- Failure to enforce a term immediately does not waive it.
- You may not assign this agreement without written consent. AdWiz may transfer the service or agreement as part of a genuine business transfer, with appropriate notice.
- These terms and referenced policies form the agreement concerning the service unless a separate written agreement applies.
16. Governing law, disputes and contact
These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory rights you may have to bring a claim elsewhere.
